Terms of Service

Important Notice

These Terms constitute a legal agreement between you and GeneLoop. By using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must discontinue use of our Service immediately.

1. Acceptance of Terms

By accessing or using GeneLoop's synthetic biology platform, APIs, tools, and services (collectively, the "Service"), you agree to comply with and be bound by these Terms of Service ("Terms"). These Terms apply to all visitors, users, and others who access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

GeneLoop provides a comprehensive synthetic biology platform that includes:

  • • DNA sequence design and editing tools
  • • Plasmid visualization and annotation
  • • PCR simulation and primer design
  • • Restriction digest analysis
  • • AI-powered sequence suggestions
  • • Project collaboration features
  • • External service integrations (e.g., pLannotate)

3. User Accounts

Account Registration

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Account Security

You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with these security obligations.

4. Acceptable Use

You agree NOT to use the Service to:

  • • Violate any applicable laws or regulations
  • • Design or develop harmful biological agents or weapons
  • • Infringe upon intellectual property rights of others
  • • Transmit malicious code or interfere with the Service
  • • Attempt to gain unauthorized access to any systems
  • • Harass, abuse, or harm other users
  • • Engage in any activity that violates biosafety or biosecurity protocols

Biosafety Notice: Users are responsible for ensuring all sequences and designs comply with local biosafety regulations and ethical guidelines. GeneLoop reserves the right to review and remove content that poses biosecurity risks.

5. Intellectual Property Rights

Your Content

You retain all rights to your sequences, designs, and other content you create using the Service ("User Content"). By using the Service, you grant GeneLoop a limited license to process and display your User Content solely to provide the Service.

We will NEVER use your intellectual property to train our models without your explicit consent. Your IP is your IP.

GeneLoop's Property

The Service, including its design, features, and documentation, is owned by GeneLoop and protected by copyright, trademark, and other intellectual property laws.

Third-Party Content

The Service may include third-party databases and tools. Use of such content is subject to their respective licenses and terms.

6. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal data. Key points include:

  • • We are GDPR compliant
  • • We never collect or store IP addresses
  • • Your sequences and project data are never used for model training without consent
  • • You can request deletion of your data at any time

7. Disclaimers and Limitations

No Medical or Research Advice

The Service is provided for research and educational purposes only. It does not constitute medical, scientific, or professional advice. Always consult qualified professionals before conducting any experiments or research.

"As Is" Basis

The Service is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by law, GeneLoop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising from your use of the Service.

8. Indemnification

You agree to indemnify and hold harmless GeneLoop, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • • Your use of the Service
  • • Your violation of these Terms
  • • Your violation of any rights of another party
  • • Your User Content

9. Termination

Either party may terminate this agreement at any time:

By You

You may stop using the Service and close your account at any time through your account settings.

By GeneLoop

We may suspend or terminate your access for violations of these Terms or for any other reason with notice.

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive.

10. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

  1. 1. Good Faith Negotiation: First attempting to resolve informally
  2. 2. Mediation: If negotiation fails, through binding mediation
  3. 3. Arbitration: Final resolution through binding arbitration under the rules of the American Arbitration Association

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • • Sending email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the new Terms.

12. General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and GeneLoop regarding the Service and supersede all prior agreements.

Severability

If any provision is found unenforceable, the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any right or provision will not be considered a waiver of those rights.
